WHOLESALE TERMS AND CONDITIONS FOR HELLO PAWS

Introduction

These wholesale terms and conditions (the "Terms") govern the purchase of dog treats from us (the "Supplier") by wholesale buyers (the "Buyer"). By placing an order, you agree to these Terms.

Orders

Minimum Order Quantity: Orders must meet the minimum quantity specified in our wholesale price list.

Order Placement: Orders should be placed through our online portal, via email, or by phone. We will confirm receipt and acceptance of your order.

Changes and Cancellations: Changes or cancellations to orders must be made within 24 hours of placing the order. After this period, changes or cancellations may not be accepted.

Pricing and Payment

Wholesale Pricing: Prices are outlined in our wholesale price list and are subject to change with notice. Discounts for bulk purchases may apply.

Payment Terms: Payment terms are typically [net 30 days] from the invoice date. Payments should be made via paypal, or bank transfer.

Late Fees: Late payments will incur a fee of 3% per month on the outstanding amount.

Shipping and Delivery

Shipping Costs: Shipping costs are the responsibility of the Buyer unless otherwise agreed upon. We will provide a shipping quote once your order has been placed.

Delivery Time: Estimated delivery times will be provided at the time of order confirmation. While we strive to meet these estimates, delays may occur.

Risk of Loss: Risk of loss or damage to goods transfers to the Buyer upon delivery to the shipping carrier.

Returns and Exchanges

Damaged or Defective Goods: If goods arrive damaged or defective, please notify us within 7 days of receipt. We will provide a replacement or refund for damaged or defective items.

Non-Defective Returns: Returns for non-defective goods are not accepted. Please ensure the accuracy of your order before finalising it.

Product Information

Product Specifications: We make every effort to ensure our product descriptions and specifications are accurate. However, we reserve the right to make changes to product formulations or packaging.

Labeling and Compliance: It is the Buyer's responsibility to ensure that products comply with local regulations and labeling requirements.

Intellectual Property

Trademarks and Copyrights: All trademarks, logos, and copyrights related to our products and brand are the property of Hello Paws. Unauthorised use is prohibited.

Confidentiality

Confidential Information: Both parties agree to keep confidential any proprietary information shared during the course of the business relationship.

Termination

Termination for Convenience: Either party may terminate the wholesale relationship with 7 days' written notice.

Termination for Cause: We reserve the right to terminate the relationship immediately if the Buyer breaches these Terms.

Governing Law

Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of Australia. Any disputes arising under these Terms shall be resolved in the courts of Australia.

Amendments

Modifications: We reserve the right to amend these Terms at any time. Any changes will be communicated to the Buyer and will apply to orders placed after the date of such notice.
